Terms of Service

These terms govern your use of the KaizenClip service. By using the service, you agree to these terms.

1. Scope & Definitions

The provider of this service is:

KaizenClip (“Service”) is a Software-as-a-Service platform for automated Twitch VOD clip creation. “User” refers to any person or entity accessing or using the Service. These terms govern the use of the Service. The purchase of subscriptions or additional processing minutes is governed by the buyer terms of our payment provider (see Section 2).

2. Payment Provider

All purchases, including subscriptions and extra processing minutes, are processed by a third-party payment provider acting as Merchant of Record. The payment provider is responsible for billing, invoicing, sales tax collection, and refund processing.

The payment provider’s buyer terms apply to all purchase transactions. KaizenClip is not the seller of record for payment purposes.

3. Service Description

KaizenClip provides the following features:

• Automated analysis of Twitch VODs for viral clip potential
• Chat spike detection to identify highlight moments
• AI-based evaluation of clip-worthy video segments
• Automated clip rendering with burned-in captions
• Download of rendered clips via time-limited signed URLs

The specific features available to you depend on your subscription plan. We reserve the right to modify, improve, or discontinue individual features with reasonable notice.

4. Plans & Pricing

KaizenClip offers monthly subscription plans. Details and current pricing are available on our website. Additional processing minutes can be purchased as a one-time add-on. Purchased extra minutes do not expire.

We reserve the right to adjust pricing with at least 30 days advance notice. Price changes take effect at the start of your next billing cycle. Applicable taxes are calculated and collected by the payment provider at checkout.

5. Free Trial

The Starter plan includes a 7-day free trial with full access to all Starter plan features. The trial automatically converts to a paid subscription after the trial period unless cancelled beforehand. You may cancel at any time during the trial at no cost.

6. Cancellation & Refunds

Monthly subscriptions can be cancelled at any time. Cancellation takes effect at the end of the current billing period. You retain access to the Service until then.

Cancellations and refund requests are managed through the payment provider’s portal. Refunds are handled by the payment provider in accordance with their refund policy. Purchased extra processing minutes are non-refundable.

7. User Responsibilities

By using the Service, you agree to the following:

• You confirm that you hold the necessary copyright or usage rights for all videos submitted for processing.
• KaizenClip provides technical infrastructure only and assumes no liability for copyright infringement by users.
• You must not use the Service for any purpose that violates applicable law.
• Automated or bot-based access, reverse engineering, and resale of the Service are prohibited.
• Your account is personal and non-transferable.

8. Limitation of Liability

The Service is provided “as is.” We do not guarantee specific results, viral performance of clips, or uninterrupted availability of the Service.

Our liability is limited to foreseeable, contract-typical damages. We are not liable for indirect, incidental, or consequential damages. We are not liable for third-party content (including Twitch VODs and chat data).

This limitation does not apply to liability for intent or gross negligence, nor to liability for injury to life, body, or health, as mandated by German law.

9. Data Protection

We process personal data in accordance with the General Data Protection Regulation (GDPR). For details on what data we collect, how we use it, and your rights, please refer to our Privacy Policy.

Payment-related data is processed by the payment provider under their own privacy policy.

10. Final Provisions

• Governing law: These terms are governed by the laws of the Federal Republic of Germany.
• Jurisdiction: The place of jurisdiction is Bochum, Germany, to the extent permitted by law. Statutory jurisdiction rules for consumers remain unaffected.
• Severability: If any provision of these terms is found to be invalid, the remaining provisions shall remain in full force and effect.
• Amendments: We reserve the right to amend these terms. Changes will be communicated at least 30 days in advance via email. Continued use of the Service after the notice period constitutes acceptance. If you do not agree with the changes, you may cancel your subscription before the changes take effect.
